These Terms and Conditions (“Terms”) govern your access to and use of the website located at https://orbitmoonalpha.com and any related products, services, applications, tools, features, content, membership offerings, and digital access plans provided by Orbit Moon Alpha (“Orbit Moon Alpha,” “we,” “us,” or “our”) (collectively, the “Services”).

By accessing or using the Services, creating an account, or purchasing any product, membership, or subscription through the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.


1. Eligibility and Accounts

You must be at least the age of majority in your jurisdiction to purchase paid products, subscriptions, or membership plans through the Services.

If you create an account, you agree to provide accurate, current, and complete information and to keep such information updated as necessary.

You are responsible for:

  • maintaining the confidentiality of your login credentials
  • restricting access to your account and devices
  • all activities that occur under your account
  • promptly notifying us of any suspected unauthorized use, account compromise, or security incident

We may suspend, restrict, or terminate accounts that violate these Terms, create security or operational risks, or are used in an abusive, unlawful, fraudulent, or unauthorized manner.


2. Description of Services

Orbit Moon Alpha provides web-based digital products and services, including AI-powered tools, multimedia creation features, membership-based access plans, and related online functionality.

Our Services may include products such as AI Agent and, where applicable, the Kepler platform.

AI Agent is a web-based AI workspace through which users may submit prompts, engage in multi-turn conversations across one or more threads, receive AI-generated responses, and access supported output features such as text, image, video, or other available media generation tools. Certain tools or workflows may also support file inputs, search-related functions, analysis features, or other specialized functionality, depending on availability.

Kepler is a web-based platform that may be made available to eligible users under selected paid plans. Access to Kepler, and to specific modules or features within Kepler, may vary depending on the user’s plan, entitlement level, technical availability, and product configuration. Kepler may include features such as online cron task deployment, expanded video-related functionality, knowledge base features, and other tools or capabilities that may be introduced, modified, limited, or removed over time. Certain features may be experimental, limited-release, or under active development.

We may modify, improve, suspend, discontinue, or limit any part of the Services at any time, with or without notice, subject to applicable law.


3. Membership Plans and Access Levels

The Services may be offered through multiple access tiers, including a Free Tier and one or more paid membership tiers, such as Basic and Premium. Feature availability, usage limits, service scope, module access, and platform entitlements may vary by tier and may be updated from time to time.

Free Tier

Free-tier access may provide limited functionality, lower rate limits, reduced quotas, and restricted access to selected tools or features.

Basic Plan

Basic access may include the features available under the Free Tier, together with higher rate limits and additional functionality. Access to certain platforms, modules, or tools may remain limited, unavailable, or partially restricted under Basic, depending on current plan scope and product configuration.

Premium

Premium access may include the features available under Basic, together with additional usage allowances, including additional Moon shards or other platform credits where applicable, and broader access to selected platforms, modules, or tools, subject to feature availability and plan terms.

For purposes of these Terms, “Moon Shards” means digital usage credits, allowances, or similar non-cash platform entitlements that may be made available under selected plans, purchases, top-ups, or promotions, subject to applicable plan rules and product terms. Moon Shards are not cash, electronic money, stored value, securities, investment products, bank deposits, or transferable assets. Unless otherwise stated, Moon Shards do not expire solely by reason of time, but may be consumed through eligible usage within the Services, such as video-related tasks or other credit-based features where applicable.

We may change, expand, limit, or discontinue plan features, quotas, entitlements, or access scope at any time, provided that we do not do so in a manner prohibited by applicable law.


4. Digital Products and Access Duration

Products sold through our shop or related purchase flows are digital, virtual access products associated with a specific plan and access duration, such as one month or one year.

Unless otherwise stated at the time of purchase:

  • no physical goods are shipped
  • access is delivered digitally through your account
  • activation and access may depend on successful payment, account status, and service availability

A purchased plan or access entitlement remains valid for the period stated at checkout, on the product page, or in the applicable billing terms, unless suspended, terminated, refunded, or otherwise modified in accordance with these Terms or applicable law.


5. Payments and Billing

Certain features or access levels of the Services require payment. Prices, billing intervals, plan availability, taxes where applicable, and included benefits will be described at the time of purchase or on the relevant pricing or product pages.

Payments on our website are processed by third-party payment service providers, including Stripe and, where applicable, Alipay through Stripe or other supported providers. We do not store full payment card numbers, Alipay account credentials, or full sensitive payment credentials on our own servers.

By purchasing a paid product, plan, or subscription, you authorize Orbit Moon Alpha and its payment service providers to charge the applicable fees, taxes, and other disclosed amounts using your selected payment method.

Depending on the checkout configuration and payment method selected, a purchase may be offered either as:

  • a recurring subscription, or
  • a one-time payment product with fixed-duration access.

Certain payment methods may support recurring billing, while others may support only one-time payment or manual renewal. If Alipay recurring billing is made available, it will be offered only through supported payment flows and subject to Stripe, Alipay-related network rules, account review, and applicable checkout terms.

For recurring subscriptions, by completing checkout with any supported payment method, including credit or debit card and Alipay where available, you authorize Orbit Moon Alpha and its payment service providers, including Stripe, to charge your selected payment method automatically at the chosen billing interval until you cancel the subscription or the subscription is otherwise terminated. This authorization applies to the plan, price, billing cycle, payment method, and renewal terms shown at checkout.

You are responsible for reviewing the billing terms, renewal behavior, price, billing interval, and cancellation terms presented at checkout before completing your purchase.

If a payment fails, is declined, is reversed, is disputed, or is not successfully completed, we may suspend, downgrade, or terminate access to the relevant paid Services.

You are responsible for any taxes, duties, or government charges associated with your purchases, except to the extent such amounts are required to be collected and remitted by us under applicable law.

If we change the price of a recurring subscription, we will provide reasonable advance notice before the change takes effect, where required by applicable law or payment network rules. If you do not agree to the updated price, you may cancel your subscription before the next renewal.


6. Renewals, Cancellations, and Refunds

Where a plan is offered as a recurring subscription, it may automatically renew at the end of each billing cycle unless cancelled before the next renewal date.

Where a plan is offered as a fixed-duration or one-time access product, access will expire at the end of the applicable period unless renewed or repurchased.

Renewal behavior may depend on the specific plan, payment method, and checkout flow presented to the user at the time of purchase. Some purchases may renew automatically, while others may require manual renewal.

We may provide billing, renewal, or account-related notices where appropriate, but we do not guarantee that advance renewal reminders will be sent in every case unless required by applicable law.

Users may cancel eligible recurring subscriptions before the next billing cycle through the Kepler Account billing area, including the “Manage subscription” link to the Stripe-hosted billing portal where available. If you cannot access the account or billing management tools, you may contact Orbit Moon Alpha support at contact@orbitmoonalpha.com for assistance.

Unless otherwise stated at checkout or required by applicable law, user-initiated cancellation stops future renewals but does not automatically refund the current billing period. After user-initiated cancellation, paid access generally remains available until the end of the current paid period.

If a refund is approved and processed for a subscription payment, we may cancel or terminate the related subscription and paid access immediately, unless we expressly state otherwise.

We may immediately suspend, restrict, cancel, or terminate a subscription or related service access if we reasonably suspect misuse, fraud, abuse, payment reversal, unauthorized use, security risk, violation of these Terms, or conduct that may create legal, operational, financial, security, or reputational risk for Orbit Moon Alpha, our users, or third parties.

Refund requests should be submitted primarily through the Kepler Account billing or refund interface where available. This allows users to select the relevant order, submit a refund request, and review the request status in their account. If the in-account refund path is unavailable or does not resolve the issue, users may contact Orbit Moon Alpha support at contact@orbitmoonalpha.com as a fallback.

Refund approval is not automatic. We may review factors such as timing, service delivery status, usage, consumed Moon Shards or credits, premium feature usage, duplicate or incorrect billing, technical non-delivery, applicable law, and payment processor rules.

Approved refunds may be full or partial depending on the circumstances, usage, consumed credits, service delivery status, applicable law, and payment processor rules. Unless expressly stated by us, refunds are not automatically prorated based on the remaining days in a billing period.

Digital products, subscriptions, Moon Shards, credits, and related service entitlements may be non-refundable once delivered, activated, consumed, used, or redeemed, except where a refund is approved under our Refund or Cancellation Policy, required by applicable law, or otherwise expressly agreed by us.

We may, at our sole discretion, issue refunds, credits, or other accommodations in appropriate cases, but doing so in one instance does not obligate us to do so in the future.


7. Account Management and Billing Interface

Where available, users may access account-related tools to review and manage plan information, billing status, renewal behavior, order history, subscription status, or other account entitlements.

Such account tools may allow eligible users to:

  • view their current plan
  • view expiration, renewal, or cancellation dates
  • view billing-related information
  • open a Stripe-hosted billing portal where available
  • cancel eligible recurring subscriptions
  • update eligible payment methods where available
  • view or download invoices where available
  • renew or repurchase eligible plans
  • submit refund requests and review refund request status where available
  • review available credits or platform entitlements, such as Moon Shards

The availability, scope, and functionality of account management tools may change from time to time.


8. User Content and AI Services

You may submit prompts, messages, uploaded files, inputs, instructions, and other content through the Services (“User Content”).

You retain responsibility for the User Content you submit, including ensuring that you have the necessary rights, permissions, and legal basis to upload, submit, process, store, or use such content through the Services.

To support user-facing functionality, thread continuity, and account features, we may maintain conversation history and related thread records on behalf of users, as further described in our Privacy Policy.

You acknowledge that AI-generated outputs may be inaccurate, incomplete, unavailable, delayed, or unsuitable for your intended purpose. You are solely responsible for reviewing, evaluating, and determining whether any output is appropriate for use or reliance in your specific context.

We do not guarantee that AI-generated outputs will be original, error-free, lawful, non-infringing, or fit for any particular purpose.


9. Acceptable Use

You agree not to use the Services to:

  • violate any applicable law or regulation
  • infringe intellectual property, privacy, publicity, contract, or other rights
  • upload, submit, or distribute unlawful, harmful, fraudulent, defamatory, abusive, hateful, or malicious content
  • upload or process content for which you do not have sufficient rights or authorization
  • interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems
  • circumvent usage limits, access controls, rate limits, billing logic, or plan restrictions
  • share accounts or access credentials in an unauthorized manner
  • use the Services to create, distribute, or facilitate malware, spam, scams, phishing, deceptive content, or abusive automation
  • exploit the Services in a manner that creates security, operational, legal, or reputational risks for Orbit Moon Alpha, its users, or third parties

We may investigate suspected violations and take appropriate action, including warning, suspension, feature restriction, content removal, refund denial where permitted, or account termination.


10. Third-Party Services

The Services may rely on, integrate with, or contain links to third-party tools, infrastructure, payment services, AI models, websites, or platforms. We are not responsible for the availability, content, performance, terms, privacy practices, or policies of third-party services.

Your use of third-party services may be subject to the terms and policies of those third parties.

We make no representation or warranty regarding third-party services, including any AI models, payment providers, hosting services, or external websites integrated with or referenced through the Services.


11. Intellectual Property

The Services, including their software, interfaces, design, branding, text, graphics, logos, workflows, compilation, and other elements, are owned by or licensed to Orbit Moon Alpha and are protected by applicable intellectual property and proprietary rights laws.

Except as expressly permitted by these Terms or applicable law, you may not copy, reproduce, distribute, modify, reverse engineer, create derivative works from, scrape, republish, or otherwise exploit any part of the Services without our prior written consent.

Orbit Moon Alpha and related names, logos, marks, and branding elements are our trademarks or those of our licensors. Nothing in these Terms grants you any right or license to use them except as expressly permitted.


12. Service Availability and Changes

We do not guarantee that the Services, or any feature, content, or module within the Services, will be available at all times, uninterrupted, secure, or error-free.

Features, outputs, tools, modules, rate limits, quotas, supported file types, plan benefits, credits usage rules, and service availability may change from time to time for operational, legal, technical, product, security, or commercial reasons.

Some features may be unavailable in certain jurisdictions or may depend on third-party availability, local network conditions, infrastructure constraints, account status, or legal restrictions.

We reserve the right to update, modify, suspend, disable, replace, or remove features or plan entitlements at any time, subject to applicable law.


13. Disclaimers

The Services are provided on an “AS IS” and “AS AVAILABLE” basis to the fullest extent permitted by law.

To the fullest extent permitted by law, Orbit Moon Alpha disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, or quiet enjoyment.

We do not warrant that:

  • the Services will meet your requirements or expectations
  • the Services will be uninterrupted, secure, timely, or error-free
  • outputs or results generated through the Services will be accurate, complete, lawful, non-infringing, or suitable for your needs
  • defects, bugs, delays, or errors will always be corrected
  • any particular feature, module, plan entitlement, or third-party integration will remain available

Any use of the Services and any reliance on outputs or results is at your own risk.


14. Limitation of Liability

To the fullest extent permitted by law, Orbit Moon Alpha and its affiliates, directors, officers, employees, contractors, licensors, partners, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, business, contracts, goodwill, data, use, or other intangible losses arising out of or related to:

  • your use of or inability to use the Services
  • AI-generated outputs or their use
  • account access issues or unauthorized access
  • interruptions, downtime, or service changes
  • purchases, renewals, cancellations, refunds, or billing issues
  • third-party services or dependencies
  • these Terms

To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of:

  • the amount you paid us for the specific paid Service giving rise to the claim during the 3 months preceding the event giving rise to the claim, or
  • USD 50

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.


15. Termination and Suspension

We may suspend, restrict, downgrade, or terminate your access to all or part of the Services at any time if:

  • you violate these Terms
  • we suspect fraud, abuse, misuse, or security risks
  • payment is overdue, declined, reversed, or disputed
  • required by law, regulation, court order, or third-party obligations
  • continued provision of the Services becomes impracticable, unsafe, or commercially unreasonable

You may stop using the Services at any time.

Termination, cancellation, suspension, or downgrade does not automatically entitle you to a refund unless expressly provided otherwise by us, the applicable purchase terms, a separate policy, or required by law.

Sections of these Terms that by their nature should survive termination will survive, including provisions relating to payments, disclaimers, limitation of liability, intellectual property, dispute resolution, and governing law.

Any dispute arising out of or relating to these Terms or the Services will be handled by the competent courts or dispute resolution bodies with jurisdiction over the legal entity operating Orbit Moon Alpha, unless a different venue is required by applicable consumer protection law.

Nothing in these Terms limits any mandatory consumer rights, statutory remedies, or protections that cannot be waived under applicable law.
